Russia is losing the remnants of control over its energy sector in Siberia and over the aluminum industry. The United States will own everything, and there is no chance to prevent this after sberbank agrees to give Americans money for these purposes. The sale will be made by VTB Bank, which still owns the remaining shares in Russia.
February 6, without exaggeration, can be called the day of judgment for the Russian energy and aluminum industry. After Rusal and Eurosibenergo, previously controlled by oligarch Oleg Deripaska through the En + holding, came under the control of independent directors from the United States and Great Britain as a result of a deal with the Us Ministry of Finance, another fairly large stake remained in Russia. It belongs to VTB.
Meanwhile, this package should now be bought by the "daughter" en + and will leave Russia. The paradox is that the Americans attracted a loan from Sberbank for this. That is, the situation is as follows: the remains of En + will be sold to the United States by VTB Bank, and the sponsor of the transaction is Sberbank.
Of course, a small, limited and non-voting package remains with Deripaska himself. But this does not change the essence of the issue, because the oligarch has not had the right to influence En + for more than a year by the decision of the US Treasury. What kind of deal is that?
En + announced the purchase of a 21.37% stake from VTB in the latest press release. According to the document, this is done in order to allegedly "simplify the structure of the company's shareholders." And indeed, the structure will become easier when VTB leaves it, and the majority of the holding's shares will be with the Americans.
The transaction amount is 1.576 billion dollars. The buyer will not be En + himself, but his "daughter", who had no other opportunity than to attract a loan to buy in... Sberbank. The loan amount is 110.6 billion rubles (or $ 1.75 billion) with repayment until 2026. Now controlled by the Americans, the holding does not hide its joy: VTB so badly wanted to sell its stake that it made a decent discount to the buyer.
On February 5, En+ shares were traded on the London stock exchange at $ 11.6 apiece. En+ buys 136,511,122 shares from VTB. A simple calculation at current value gives the amount of 1.583 billion dollars, which is significantly more than the amount of the transaction, which, thus, will take place at a discount.
So what's the deal? In the eyes of the Russian side, it is very strange, but quite logical for the Americans and the British Lord Gregory Barker, who became the new head of En + after the voluntary expulsion of Deripaska (we will recall this later).

The scale of what happened becomes clear if we consider what the En + holding is and which companies it owns. First of all, this is Rusal. The aluminum giant is of such a scale that the problems that arose due to US sanctions against Deripaska in 2018 hit the global automotive industry and aircraft manufacturers.

En + owns energy capacities in the regions of Russia. The holding is 100% owned by Eurosibenergo. It includes the largest energy enterprises in Russia, which in total serve more than 15 million consumers.
"Eurosibenergo" manages the group of companies "Volgaenergo", has in its portfolio shares of JSC "Krasnoyarsk HPP", PJSC "Irkutskenergo" and LLC "Company Vostsibugol". The latter, by the way, is the largest producer of thermal coal in the Irkutsk region.
In total, Eurosibenergo controls four major hydroelectric power plants: Bratsk HPP, Irkutsk HPP, Krasnoyarsk HPP and Ust-Ilimskaya HPP. As well as 11 thermal power plants located in the Irkutsk and Nizhny Novgorod regions and in the Krasnoyarsk Territory.

How did that even come about?
The conclusions, perhaps, suggest themselves. The decision of the US Treasury in April 2018 to impose sanctions against Rusal, or rather Oleg Deripaska, turned out to be akin to winning the lottery. Rusal is a very big giant, but at the same time very vulnerable. It was enough for the Americans to simply interrupt the supply of aluminum, and the company began to "suffocate". Its warehouses were overcrowded, workers at the plant in Sweden were afraid of losing their jobs, shares on the Hong Kong stock exchange collapsed, and Oleg Vladimirovich himself appealed for help to the Russian government.
The government refused to buy aluminum from Rusal in the state reserve, but promised to help with "incentive measures". Among them was a plan to support the aluminum industry by striking at the manufacturers of plastic containers, then an attempt to help the oligarch's automotive business through preferences in public procurement, which caused discontent among other Russian machine builders, and in the future could annoy the FAS.
