PLEASE READ THESE TERMS CAREFULLY BEFORE ANY USE OF OUR PLATFORM OR SERVICES, AS THEY AFFECT YOUR LEGAL RIGHTS. BY ACCEPTING THESE TERMS ELECTRONICALLY (FOR EXAMPLE, BY CLICKING “I AGREE” OR SIMILAR WORDING), ACCESSING OUR PLATFORM, LOGGING IN WITH YOUR DIGITAL WALLET ON THE PLATFORM, OR BY ANY OTHER WAY OF INTERACTING WITH OUR PLATFORM OR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL DOCUMENTS OR POLICIES MENTIONED HEREINAFTER. These terms of use (the “Terms”) make a contract entered into by and between you and Tribe TON and govern access to our website https://tribeton.io (the “Website”, the “Platform”), our software, content, special tools, technologies, products, or functionality of our Platform, including but not limited to, processes of creating, buying, selling, trading digital assets (the “Service”).

TRIBE provides Services solely to ensure that Users have a technical solution to create, buy, sell, and trade digital assets and never participates in any deals, unless otherwise specified hereunder.

All digital assets, including NFTs (the “Offerings”, the “Products”, the “Goods”, the “Assets”) displayed on the Platform and offered for purchase or trade, are offered to you by other Users, unless otherwise specified.

SERVICE DESCRIPTION

The TRIBE Service enables users to create, purchase, and sell non-fungible tokens ("NFTs") using smart contracts.

TRIBE acts as an intermediary between platform users and is not a party to any contracts made by users. User relationships are governed by separate agreements.

We are not liable for any claims related to products bought on the TRIBE Platform. We do not take responsibility for the legality, authenticity, or other attributes of any products listed, created, traded, or sold on our platform. Users engage in transactions and operations at their own risk.

By using the TRIBE platform, you acknowledge that we are not obligated to intervene in any disputes between platform users or between users and third parties (including governmental entities) under any laws or legal proceedings.

TRIBE bears no responsibility for the availability of content, products, services, offerings, goods, or assets featured on the platform.

TRIBE shall not be held accountable for any service disruptions, unavailability of services or the platform, or any resulting losses or damages from such disruptions.

WHO MAY USE THE PLATFORM AND SERVICES

1. You are eligible to use our services if you can enter into a binding contract with TRIBE.
2. Individuals under the age of 18 or the minimum legal age for contracting set by relevant laws are prohibited from using or accessing our services/platform.
3. Users are responsible for adhering to all applicable laws.
4. You confirm that you are not located in a sanctioned jurisdiction that prevents TRIBE from granting you access to the services. Your location is determined by your physical presence when accessing our services/platform.

ACCESSING THE PLATFORM AND SERVICES

1. You can begin using our platform and services by connecting your existing TON Wallet, Tonkeeper, or other approved wallets to our website via the TON Wallet browser extension.
2. Some transactions can be carried out without linking your wallet to our website.
3. When logging in with your wallet on the platform, note that this involves third-party services, and we do not guarantee security or accept liability for any resulting losses or damages.
4. We do not have access to your wallet or its contents (cryptocurrency, NFTs, etc.).
5. By using our services, you agree to the following rules:Do not share wallet access or related data with third parties without explicit permission.
6. You are responsible for all wallet activities on our platform, even if conducted by third parties.
7. Take precautions to secure your wallet and avoid unauthorized access.
8. TRIBE charges fees for services, which will be automatically included in transactions.
9. Authorization of funds may be required for certain transactions.
10. You acknowledge the Safety Disclaimer provided by TRIBE.

MINTING

1. In order to mint NFTs with TRIBE, you must first create your Collection.
2. The Collection page should contain details such as name, description, links to social media profiles, and other permitted information. You are required to upload a banner, a Collection avatar, and set a royalty percentage for each sale of your NFT.
3. Once your Collection is launched, you can proceed to mint NFTs.
4. TRIBE reserves the right to restrict or block access to minting services on the Platform for users without prior notice.
5. To mint an NFT, users need to upload an image, provide a name and description, choose the relevant Collection, request minting, and pay the associated fees. Upon successful completion, the NFT will be minted and added to the specified collection.
6. TRIBE does not guarantee the timeliness or success of minting processes.
7. Fees are charged for minting NFTs on the TRIBE Platform to cover TON and NFT operational expenses. TRIBE does not retain any portion of these fees.
8. Users must ensure they have legal authorization and all necessary rights and permissions before minting any objects through the TRIBE Platform/Services.
9. Users affirm that the display, trade, sale, or any other use of minted NFTs on the TRIBE Platform complies with third-party rights and agreements.
10. NFTs created via minting processes on the TRIBE Platform only confirm ownership of a unique digital token, not the content associated with it. Copyright ownership is not transferred along with the digital asset through the NFT.

FEES AND ROYALTIES

1. By engaging in transactions with TRIBE, you are agreeing to pay all relevant fees and royalties, allowing TRIBE to deduct or include them in payments automatically.
2. TRIBE charges the following fees:Transaction fee (Gas Fee)/Network fee for any blockchain transaction or interaction with a smart contract.
3. Digital artist found fee amounting to 5 - 20% of the NFT sale price (depend artist LVL).
4. Creator Royalties, which can range from 0 to 30% of the sale price and are determined by the original NFT creator.
5. Due to the operational processes of TON, exact fee amounts may not be displayed before completing a transaction.
6. It is essential to maintain a specific amount of TON in your Wallet to cover gas fees. Any unused amount will be refunded after the transaction.
7. The fee and royalty information provided here is approximate, non-binding, and subject to change based on circumstances.
8. TRIBE reserves the right to modify the fees and their amounts at any time and at its discretion.

TERMS OF SALE (in progress now)

1. TRIBE holds no liability for any Products listed, sold, or created by Users on the Platform. There are no means for verifying the legality, authenticity, or quality of any Product showcased on the Platform.
2. All transactions on TRIBE are conducted using smart contracts based on the TON blockchain.
3. Users acknowledge and assume all risks associated with blockchain operations, understanding that TRIBE has no control over blockchain transactions. Users engage in transactions at their discretion and risk.
4. Upon purchasing an NFT on the Platform, a User receives a unique digital token not associated with any specific content. This purchase does not transfer any underlying intellectual property rights related to the content.
5. Ownership transfer information for purchased NFTs is stored on the blockchain, accessible on the TRIBE Website in relevant sections.
6. Users agree to pay all relevant fees and royalties by proceeding with any transaction.
7. Products listed on the Platform are available for purchase at the specified prices.
8. All transactions are final, and TRIBE does not offer refunds for Products, fees, or royalties under any circumstances.
9. TRIBE reserves the right to cancel transactions if the linked Wallet lacks sufficient funds for completion.
10. TRIBE disclaims any responsibility for losses or damages resulting from Platform/Services errors or failures.
