A private placement is a sale of stock shares or bonds to pre-selected investors and institutions rather than on the open market. It is an alternative to an initial public offering (IPO) for a company seeking to raise capital for expansion.


Investors invited to participate in private placement programs include wealthy individual investors, banks and other financial institutions, mutual funds, insurance companies, and pension funds.


One advantage of a private placement is its relatively few regulatory requirements. 1


There are minimal regulatory requirements and standards for a private placement even though, like an IPO , it involves the sale of securities. The sale does not even have to be registered with the U.S. Securities and Exchange Commission (SEC). The company is not required to provide a prospectus to potential investors and detailed financial information may not be disclosed. 1


The sale of stock on the public exchanges is regulated by the Securities Act of 1933 , which was enacted after the market crash of 1929 to ensure that investors receive sufficient disclosure when they purchase securities. 2 Regulation D of that act provides a registration exemption for private placement offerings. 3


The same regulation allows an issuer to sell securities to a pre-selected group of investors that meet specified requirements. Instead of a prospectus, private placements are sold using a private placement memorandum (PPM) and cannot be broadly marketed to the general public. 3


It specifies that only accredited investors may participate. 3 These may include individuals or entities such as venture capital firms that qualify under the SEC’s terms.


Private placements have become a common way for startups to raise financing, particularly those in the internet and financial technology sectors. They allow these companies to grow and develop while avoiding the full glare of public scrutiny that accompanies an IPO.

Buyers of private placements demand higher returns than they can get on the open markets.

As an example, Lightspeed Systems, an Austin-based company that creates content-control and monitoring software for K-12 educational institutions, raised an undisclosed amount of money in a private placement Series D financing round in March 2019. The funds were to be used for business development. 4 5


Above all, a young company can remain a private entity, avoiding the many regulations and annual disclosure requirements that follow an IPO. The light regulation of private placements allows the company to avoid the time and expense of registering with the SEC . 3 1


That means the process of underwriting is faster, and the company gets its funding sooner.


If the issuer is selling a bond, it also avoids the time and expense of obtaining a credit rating from a bond agency.


A private placement allows the issuer to sell a more complex security to accredited investors who understand the potential risks and rewards.


The buyer of a private placement bond issue expects a higher rate of interest than can be earned on a publicly-traded security.


Because of the additional risk of not obtaining a credit rating, a private placement buyer may not buy a bond unless it is secured by specific collateral.


A private placement stock investor may also demand a higher percentage of ownership in the business or a fixed dividend payment per share of stock.

The first official private jet was the Lockheed Jetstar. However, the market really took off with the 1963 Learjet. The LearJet 23 was a small affair offering flight for four to six people. There are still some LearJet 23s offering flights to this day!
There are currently around 15,000+ private jets in the world. This number is set to double or triple in the next decade. It is safe to say that the private jet market is a billion-dollar market.
The private jet market is extremely wide. It ranges from short-range affordable aircraft VLJs to long-range mega aircraft that allows celebrities and their friends and families to fly around the globe in total luxury. Their prices range from a $1-2 million all the way up to $500 million.

Private Jets are extremely common these days. You can easily charter a private jet in the matter of a few clicks, and thousands of people own one too.
Yet, only a few years ago, private jet’s didn’t exist. In fact, commercial flight in itself did not exist. Many people contribute the rise of the private jet to the rise of commercial flight. This is due to the fact that people always wish to reach higher, and live the life of the rich and famous.
So let’s have a look at the history of private aviation, and a look into its future.
Though they were initially small in size (both engine and passenger), they have grown exponentially and you can even find Airbus A380s being used as a private jet!
In 1963, Bill Lear created the first purpose-built private plane – the LearJet 23. This is what really ignited the market and of course gave way to LearJet too.
In 1966 Gulfstream created the Gulfstream II. This was the first large-cabin private jet. This made it able to carry more passenger over longer distances
In 1968 Embraer joined the race with the Bandeirante Twin-Turboprop. It has since become one of the largest private aircraft manufacturers.
In 1977, Boeing also joined the private jet race by converting its successful 747 line. The 747-400 and 747-8 VIP series remain popular to this day.
In 1977 the European Business Aviation Association launches to promote and co-ordinate the industry. It launched gatherings in 2001.
Paris Le Bourget Aiport becomes dedicated to the private jets. It’s now the busiest private jet airport in the world.
In the 1990s private jets started to become business jets. These were for the high flying executives and board members so they could travel while on the go. Corporate air travel was never to be the same after this.
Along with the rise of business jets, came the opportunity of fractional ownership in the 90s. It became easier to own and operate a private jet as if it was 100% your own. Along with the private jet charter also started to take off.
In 1993, the Cessna Citation X takes to the skies to become the fastest private jet, traveling at a speed of Mach 0.935. It’s shortly followed by the XL in 1996, which is the most popular private jet in the world.
In 2005 the Falcon 7X debuts as the first fly-by-wire business jet. This replaces all manual flight controls.
In 2008, the Gulfstream 650 is launched with a range of nearly 13,000km! This makes it the longest range private jet to this day. You can fly London to New York or pretty much anywhere around the world with a single tank.
In 2016 Honda joined the private jet industry with the HondaJet. This targets the Very Light Jet (VLJ) market. Affordable private jet travel for a few passengers. The HondaJet model aircraft is also interesting in the fact that its two engines are mounted above the wing.
Private space flight is in the near future. SpaceX recently launched the first space flight carrying private passengers. Private aviation is set to go beyond earth in the very near future.

Private Wedding Vows: Your Complete Guide
Have you heard of private wedding vows? While not as common as custom written vows or traditional vows , private vows are a growing trend. 
As a wedding vow writer , I’ve created this detailed guide so you can learn everything there is to know about private vows. Then you can decide: will you write private wedding vows? 
Private wedding vows are wedding vows that are custom written, but instead of saying them in front of your guests during the ceremony, you recite the vows in a more private setting.
Private vows are meant to be more personal and intimate since it’s likely just you and your partner who will be present to hear them. 
If you choose to recite private vows, you will do so separately from your official wedding ceremony. 
Many couples will recite their private vows during their first look. This adds to the intimacy of the moment. Plus, you’ll have your photographer and videographer there to capture it. 
Another option is to recite your private vows right after your ceremony. It’s nice to schedule time for just the two of you after the ceremony.
You’ll be thankful to have time to take in the moment together before socializing and celebrating with all of your guests. Have your wedding planner bring you two your favorite drinks and some of the hors d’oeuvres. Enjoy this time together from the bridal or groom’s suite and use this moment to recite your private vows. 
Writing private vows is very similar to writing vows that you’d read at your ceremony. 
Here’s a basic private vow writing outline you can follow:
Address your partner and state why you’re excited to marry them
Detail out qualities that you admire about them
Communicate the things you appreciate about your relationship
Make three to six specific promises for your marriage
Close with a loving wish for your life together 
There is one main difference between vows and private vows and that’s vulnerability. You might feel more comfortable with being emotionally open with your partner since you know they’ll be the only person who hears your vows. 
As you write your private vows, embrace your emotional side.
I recommend keeping your vows between three to six minutes, whether you’re reciting your vows in public or in private. This way, you have time to include all the necessary details but still, have an impact. When vows are too long, they can lose that emotional impact. 
However, since the vows are private, you can take longer to read them. It’s just you two. You won’t need to consider how you’ll keep guests captivated or how you’ll stay on track with the ceremony timeline. 
I recommend writing your vows within two to three months before your wedding. When you start writing closer to the wedding date, you’ll feel aligned with your emotions and thoughts about your upcoming marriage. 
However, don’t wait too long. Writing your vows the week of your wedding can be stressful and isn’t very conducive to the creative process. 
The only people who are present for private vows are typically the couple and sometimes the photographer and videographer. 
If you wish to invite more people like your maid of honor and best man or your parents and siblings, go for it.
The vows won’t be quite as intimate but they’ll still be more private than if you chose to recite them in front of all your 100+ guests.
