What we do:

  • Buy-side financial due diligence on targets for leading (inter)national corporate and Private Equity firms on large and medium M&A transactions or mergers
  • Vendor due diligence for companies up for sale
  • Due diligence assistance in IPOs
  • Analysis of target companies’ business plans in light of due diligence findings
  • Supporting clients in share-purchase agreements drafting and negotiations
  • Assistance in business restructuring processes

Responsibilities:

  • Analyze historical business performance, key performance indicators trends and understand the business drivers
  • Understand the companies’ financial position, leverage and other balance sheet exposures
  • Understand the major differences between company’s statutory financial statements, management accounts and IFRS / US GAAP; their impact on transaction
  • Analyze the sustainable profitability and normal financial position, advise how the results should be used in valuation
  • Advise on treatment of due diligence findings in valuation and negotiations, deal documents
  • Analyze the quality of the business plan in light of the due diligence findings

Education, experience and skills requirements:

  • Excellent analytical skills - demonstrating evidence of being highly numerate and intelligent
  • Strong academics: university degree, preferably economics or mathematics or accounting
  • 4+ years of experience in auditing or accounting or transaction support (due diligence)
  • Knowledge of IFRS or US GAAP and Russian GAAP
  • Fluent in Russian and English
  • Studying ACCA / CPA / CFA is an advantage
  • Good overall awareness of the Russian economy and market is an advantage
