The basic calculation unit has been increased

The President has signed a Decree on Increasing Salaries, Pensions and Benefits (the “Decree”). According to the Decree, starting from 1 May 2023:

• The minimum wage will be equal to UZS 980 000 (approximately USD 85),
• The basic calculation unit (the “BCU”) will be equal to UZS 330 000 (approximately USD 28 ).

The BCU is established for determining the amount of taxes, fines, state fees and other payments.

Увеличена базовая расчетная величина

Президент подписал Указ о повышении размеров заработной платы, пенсий и пособий (“Указ”). Согласно Указу с 1 мая 2023 года:

• минимальный размер оплаты труда будет составлять 980 000 сум (приблизительно 85 долларов США);
• базовая расчетная величина (“БРВ”) будет составлять 330 000 сум (приблизительно 28 долларов США).

БРВ устанавливается для определения размеров налогов, штрафов, государственных пошлин и других платежей.

Corporate amendments come into force

In accordance with the Presidential Resolution on Improving Corporate Relations,  the following provisions will come into force from 1 April 2023:

• non-monetary contributions to the charter capital of an LLC over 10 000 BCU (UZS 3 000 000 000, approximately USD 263 158) shall be valued by a valuation organisation and may not exceed the estimated value,
• in case of reorganisation the rights and obligations of a legal entity are transferred to the reorganised one regardless of the transfer act,
• decisions of the supervisory board on the issue of shares and other securities are disclosed as a corporate event.

Вступают в силу корпоративные изменения

В соответствии с Постановлением Президента о совершенствовании корпоративных отношений, с 1 апреля 2023 года вступают следующие положения, согласно которым:

• неденежные вклады в уставный фонд ООО свыше 10 000 БРВ (3 000 000 000 сум, приблизительно 263 158 долларов США) должны оцениваться оценочной организацией и не могут превышать оценочной стоимости;
• при реорганизации права и обязательства юридического лица переходят реорганизованному юридическому лицу независимо от передаточного акта;
• решения наблюдательного совета о выпуске акций и иных ценных бумаг раскрываются в качестве существенного факта.

Heating systems can be transferred to business management

On April 3 2023 the President held a meeting on improving heating systems in Uzbekistan. During the meeting, the President approved a proposal to transfer heating systems to the management of private sector for a period of 10 years. 

It is planned to hand over heat supply to private businesses in Namangan region in 2023.

Системы отопления могут быть переданы в управление бизнеса

3 апреля 2023 года Президент провел совещание по улучшению теплоснабжения в Узбекистане. В ходе совещания Президент одобрил предложение по передаче систем отопления в управление частному сектору на срок до 10 лет. 

В 2023 году запланирована передача теплоснабжения частному бизнесу в Наманганской области.

The register of unfair performers (blacklist) in the public procurement system

The Ministry of Economy and Finance published for discussion a draft order, which introduces the Procedure for the Formation of a Single Register of Unfair Performers (“Register”). Information from the Register will be open, publicly available and free.

A participant in public procurement may apply to the Ministry of the Economy and Finance to include another participant in the Register in the case of:

• winner’s refusal to conclude the contract,
• non-performance or improper performance of obligations,
• submission of knowingly false documents, failure to disclose information on affiliated persons or a conflict of interests,
• fraud or corruption offences.

Performers on the Register will be excluded from public procurement for 2 years. 

The draft order will be under discussion till 13 April 2023.

Реестр недобросовестных исполнителей в системе государственных закупок

Министерством экономики и финансов вынесен на обсуждение проект Приказа, которым вводится Порядок формирования Единого реестра недобросовестных исполнителей (“Реестр”). Сведения из Реестра будут открытыми, общедоступными и бесплатными.

Участник государственных закупок может обратиться в Министерство экономики и финансов для включения другого участника в Реестр в случае:

• отказа победиля от заключения договора;
• неисполнении или ненадлежащем исполнении обязательств;
• представления заведомо ложных документов, неразглашении информации об аффилированных лицах или конфликте интересов;
• мошенничества или коррупционных преступлений.

Исполнители включенные в Реестр будут отстранены от участия в государственных закупках на 2 года.  

Обсуждение проекта приказа продлится до 13 апреля 2023. 

Decriminalisation of trade rules violations

The Ministry of Justice published for discussion a draft law decriminalising trade and services rules violations. 

The draft law proposes to abolish an article of the Criminal Code that establishes a fine of 300 to 600 BCU (from UZS 90 000 000 to 180 ooo ooo, approximately from USD 7 894 to 15 789) or up to two years of correctional labour for trade rules violations.

The draft law will be under discussion till 13 April 2023.

Декриминализация нарушения правил торговли

Министерством юстиции опубликован для обсуждения проект закона, предусматривающий отмену уголовной ответственности за нарушение правил торговли и оказания услуг. 

Законопроектом предлагается признать утратившей силу статью Уголовного кодекса, устанавливающую штраф от 300 до 600 БРВ (от 90 000 000 до 180 000 000 сум, приблизительно от 7 894 до 15 789 долларов США) либо до двух лет исправительных работ, за нарушение правил торговли.

Обсуждение законопроекта продлится до 13 апреля 2023.
