Vizor is looking for a Corporate Secretary.

Reporting to: Corporate Counsel
Location: priority will be given to candidates who are able to work from our office in Limassol, Cyprus. Though the remote option is not in priority, strong candidates will be considered.
We are looking for a Corporate Secretary to join our rapidly growing global team in Vizor, an international game development and publishing company, whose portfolio includes mobile games, PC/Console projects and social media apps. You will work closely with the Corporate Counsel and other members of the legal and finance departments.
An ideal candidate is someone who has enthusiasm and willingness to enhance their skills and knowledge in the field of corporate law and governance. You are a diligent person who is capable of keeping accurate records of the documents pertaining to various legal entities in several jurisdictions, participate in preparation of the corporate documentation (i.e., minutes, resolutions, notices) and assist in undergoing numerous KYC and DD checks. From our side, we can offer hands-on participation in various corporate transactions, including M&A, and an opportunity to grow into corporate / compliance counsel, as we hope that is something you might be interested in.
What we expect you to do:
- Prepare and maintain corporate records, minutes of meetings, resolutions, and powers of attorney.
- Coordinate and manage meetings, including preparing agendas, distributing materials, and recording minutes.
- Liaise with the corporate service providers and external consultants on the matters regarding compliance with all statutory and regulatory requirements, including timely filing of necessary documents.
- Liaise with the representatives of the shareholders and directors on the matters concerning compliance with the AML directive and KYC checks.
- Work closely with the members of the legal and finance team to promote smooth operations and record-keeping for various purposes.
- Manage and safeguard sensitive and confidential information.

- Manage corporate governance issues and provide advice on best practices.
- Oversee the implementation of corporate policies and procedures.
- Handle correspondence with regulatory authorities.
- Monitor closely any developments in sanctions regimes of the US and EU.
Minimal requirements:
- Bachelor’s (or similar) degree in Law, Corporate Governance, or a related field.
- 1-2+ years of experience or traineeship as a corporate secretary / administrator or as a legal counsel or in a similar role.
- Fluent Russian and English (including legal English).
- Interest and willingness to develop a deep understanding of corporate governance practices and regulations.
- Excellent organizational skills and attention to detail.
- Strong written and verbal communication skills, including legal drafting and negotiation.
- Strong analytical skills, ability to conduct legal research.
- Proficiency in Microsoft Office Suite and familiarity with board management software.
Considered an advantage:
- Previous experience with Ariadni e-filing system and Cyprus Registrar of Companies.
- Hand-on experience with English law and EU regulations.
- Greek language proficiency.
