Increases the effectiveness of

The bonus will be randomly selected from the following categories: an opportunity to acquire weapons with a higher damage range or an increased reload speed or a chance to gain an improved defense roll.
The number of upgrades you make will determine the amount of extras you will receive. Each upgrade will increase the extras in question by increments of 1 up to a maximum value of 3. Each upgrade will also increase the stats in the main menu by +1.
In addition to the stat increase certain upgrades can also provide a random boost. These boosts can be quite important and should be considered when deciding on which items to upgrade. Some of these boosts are useful in specific builds (such Whistan's shield, for FB sorcs) while others can bring significant value to specific collectors.
Some items have an inherent boo, which is not effective when upgraded, like the Goldwrap which provides more slots for potion. They are often upgraded to add value to a nearly perfect item.
Costs
There are a few expenses associated with item upgrades. The first cost is the upgrade itself. This cost can be expensive and is contingent on the new level of the item as well as the number of perks it gets. It can also be expensive to upgrade an item to a better tier (such as Explorer > Champion, or Veteran > Heroic).
The other is the cost of materials needed for an upgrade. These items are usually Power Dices (dropped from monsters 21+), Minerals and Erons, or specific Mists Of Pandaria or Warlords of Draenor Quests. The quantity of these items required can be seen in the inventory of an upgrade vendor.

This item can be useful in the event that your item or weapon is near or has reached the maximum level of its tier. If an upgrade fails it will be restored to its previous state. This is usually a downgrade, but could also be an upgrade. It is recommended to save an upgrade for when you're close to the highest level of an item, and use it as an emergency.
