Last year, the industry saw U.S. sales decline 1%, hovering around $22 billion for the past few years. However, there were some bright spots: construction toys and arts and crafts categories. In another validation of the trend, the world’s largest toymaker, Mattel Inc., the maker of Barbie and Hot Wheels, said on Friday that it’s buying Montreal-based Mega Brands, maker of Mega Bloks building sets and RoseArt crafts, for $460 million, its largest deal since the El Segundo, Calif.-based company bought Thomas the Tank Engine-parent Hit Entertainment for $680 million in 2012.




With about $300 million, or three quarters of Mega Brands’ $400 million in total sales in construction sets, the deal will catapult Mattel to the No. 2 player in the construction toy market after Denmark-based Lego. Mattel, which saw total sales of $6.5 billion in 2013, said it currently has less than a 1% share of the $4 billion construction-toy market in the U.S. and five major European markets combined. “It’s been a strategic imperative for us to enter other toy categories and this acquisition will immediately position us  to  be  a  meaningful  player  in  the  construction  category,” Mattel CEO Bryan Stockton said on a conference call after the announcement. “It has one of the fastest growth rates in the industry over the past three years. It has great future potential for growth, especially in emerging and developing markets.” According to the most recent data available from the Toy Industry Association, U.S. sales of construction toys surged 22% to $2 billion in 2012, outpacing the industry’s 2% growth.




Arts and crafts category also saw an above-industry growth of 4% to $1 billion. Meanwhile, categories including plush toys and vehicles declined. In fact, the growth in the construction-toy market has catapulted Denmark-based Lego, which has the largest market share in the category, to the world’s No. 2 toymaker. The private company on Thursday reported a 10% increase in sales last year to the equivalent of $4.6 billion. That growth rate was far above that of Mattel and has helped Lego the past two years to beat formerly No. 2 toymaker Hasbro, which saw its sales dip to about $4.1 billion last year. Hasbro also has entered the construction toy category through its Kre-O line. Lego, meanwhile, is expanding in the girls segment through its Lego Friends sets. It’s also seen an additional boost from its successful launch of The Lego Movie.  (Watch my interview with Lego and a highlight of some new toys this year at Toy Fair.) Mattel said it will help expand Mega Brands products outside of the U.S. and Canada, about 70% of Mega Brands’ total business versus about half of Mattel’s business that’s overseas. 




The company also said it will invest more in advertising, an area Mega Brands doesn’t currently spend much on. Mattel sees the purchase as a “great opportunity” to expand its brands from Barbie to Hot Wheels into both the building sets and arts and crafts categories after debuting some Barbie construction sets in late 2012 and Hot Wheels’ in 2013. Mattel stock, after having slumped 22% this year through Thursday following a disappointing holiday season, inched up 0.6%. The company said the purchase will hurt profit this year because of acquisition related costs and short-term amortization, but it expects the deal to add to profit starting next year. “We see this as a great near-term  growth  driver, ” Stockton said, adding Mattel will introduce some new lines with its brands as early as next year. “They  can  become  a  meaningful  core  brand  in  our  portfolio.” – Follow her on Twitter @AndriaCheng.
